Terms of Service

1. Acceptance

By using Outryze (the "service") you agree to these terms.
If you do not agree, do not use the service.

3. Eligibility

You must be 18 or older and have authority to bind the organisation on whose behalf you register. The service is intended for business use only.

4. Account

• Keep credentials confidential and enable two-factor authentication when available.
• You are responsible for activity under your account. Notify us promptly of any breach.
• One account per organization; multiple users can be added to your organization.

5. Licence & Ownership

We grant you a limited, non-exclusive, non-transferable licence to access and use the service for your business purposes.
All software, logos and content remain our property or that of our licensors.
You retain ownership of your data and content uploaded to the service.

6. Acceptable Use

You must not:

• send unsolicited bulk e-mail or violate CAN-SPAM, EU ePrivacy, GDPR, UK PECR or similar laws
• upload personal data without a lawful basis or required consent
• attempt to disrupt, hack, or reverse-engineer the service
• infringe intellectual-property rights
• use the service for unlawful, harmful, threatening, or discriminatory purposes
• share account credentials or circumvent usage limits
• send content that is defamatory, fraudulent, or contains malware

We may suspend or terminate accounts that breach these terms or our service providers' policies (including Mailgun's policies).

7. Billing & Payment

• Fees are charged monthly or annually in advance based on your chosen plan.
• Usage overage charges apply if you exceed your plan limits.
• All fees are non-refundable except as required by law.
• We may change prices with 30 days' notice to existing customers.
• Failure to pay may result in service suspension or termination.

8. Mailgun & Third-Party Services

The service integrates with third-party services including Mailgun for email delivery and Stripe for payment processing. Your use of these services is governed by their respective terms of service. We are not liable for third-party service interruptions or failures.

9. Data & Privacy

Your use of personal data through our service must comply with applicable privacy laws including GDPR. Our handling of your data is governed by our Privacy Policy. You are responsible for ensuring you have proper consent and legal basis for any personal data you process.

10. Termination

You may stop using the service at any time and request deletion of your account.
We may terminate or suspend access with 30 days' notice, or immediately for serious breach or non-payment.

Upon termination we will delete or anonymise your data within 90 days unless law requires longer retention. You may export your data before termination.

11. Service Availability

We aim for 99.9% uptime but cannot guarantee uninterrupted service. We may perform maintenance with reasonable notice. The service is provided "as is" and "as available".

12. Disclaimer

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the service will meet your requirements or be error-free.

13. Limitation of Liability

Our total liability arising out of or in connection with the service (whether in contract, tort or otherwise) is limited to the greater of (a) EUR 1,000 or (b) the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, consequential, punitive, or special damages including lost profits, data loss, or business interruption.

14. Indemnity

You agree to indemnify and hold us harmless from any claim arising out of your breach of these terms, your misuse of the service, or your violation of any law or rights of third parties, including claims related to unsolicited e-mail or privacy violations.

15. Governing Law & Disputes

These terms are governed by Hungarian law.
Any disputes shall be resolved by the competent courts of Hungary.
Nothing prevents us from seeking injunctive relief in any jurisdiction.

16. Changes

We may update these terms from time to time. Material changes take effect 30 days after posting unless you terminate your account. Continued use after that date constitutes acceptance of the new terms.

17. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
